                    [answer] => <p>Written with the intent to encourage funding of small businesses during the initial public offering process, the Jumpstart our Business Startups Act (the “JOBS Act”), 
as signed by President Obama on April 5, 2012, reduces the regulatory burden on small companies seeking to raise capital in the U.S. through revisions to the Securities 
Act of 1933 (the “Securities Act”) and the Securities Exchange Act of 1934 (the “Exchange Act”). As a result, smaller issuers can now take advantage of improved opportunity 
for public financing and development during their initial years as a public company.&nbsp;</p><p>Specifically, changes to the rules regarding general solicitation and advertising under Rule 506, which state that the provisions prohibiting general solicitation and 
advertising shall not apply to offers and sales of securities made pursuant to Rule 506 of Regulation D, provided that all of the purchasers of the securities are 
accredited investors. The revised rules require issuers to take “reasonable steps” to verify that investors are actually accredited investors. In addition, the JOBS Act 
also introduces the “Capital Raising Online While Deterring Fraud and Unethical Non-Disclosure Act of 2012” (the “CROWDFUND Act”), which adds the CROWDFUNDING exemption 
under Section 4 of the Securities Act. The CROWDFUNDING exemption, added as Section 4(6) to the Securities Act, allows U.S. private issuers to raise up to 1 million dollars 
in capital per year from small investors without registration under the Securities Act. While sales pursuant to Section 4(6) are limited based on the investor’s net worth, 
annual income, require certain disclosures and are subject to a one year transfer restriction, they will also be exempt from registration requirements under 
section 12(g) of the Exchange Act.</p>

distinct tiers: (i) NASDAQ Global Select Market, (ii) NASDAQ Global Market, and
(iii) NASDAQ Capital Market. Applicants must satisfy certain financial,
liquidity, and corporate governance requirements to be approved for listing on
any of these market tiers. Financial and liquidity requirements are most
stringent for NASDAQ Global Select Market and progressively decrease for the
NASDAQ Global Market and then the NASDAQ Capital Market. All NASDAQ market
tiers have uniform corporate governance requirements</p><h5><em><strong>NASDAQ Capital Market (formerly NASDAQ SmallCap
     Market):</strong></em></h5><p>NASDAQ Capital Market is geared
towards companies with lower market capitalizations than those listed on
NASDAQ’s other markets. As a result, the requirements companies must satisfy to
list their stock on NASDAQ Capital Market are less stringent than those
maintained by larger markets catering to companies with larger market
capitalizations. To list on the NASDAQ Capital Market companies must meet all
criteria under at least one of three listing standards: (i) the Equity
Standard, (ii) the Market Value of Listed Securities Standard, or (iii) the Net
Income Standard.</p><h5><em><strong>NASDAQ Global Market:</strong></em></h5><p>Companies interested in listing on
NASDAQ Global Market are subject to more strict financial and liquidity
requirements than NASDAQ Capital Market, however, such standards are less
stringent than those of NASDAQ Global Select Market. Applicants must meet all
of the criteria under at least one of four standards: (i) Income Standard, (ii)
Equity Standard, (iii) Market Value Standard, or (iv) Total Assets/Total Revenue
Standard.</p><h5><em><strong>NASDAQ Global Select Market:</strong></em></h5><p>The NASDAQ Global Select Market
consists of companies that meet more stringent financial, and liquidity
requirements than NASDAQ’s other markets. Applicants must meet all of the
criteria under at least one of four financial standards and liquidity
requirements specific to the Applicant’s circumstances. The financial standards
are (i) Earnings Standard, (ii) Capitalization with Cash Flow Standard, (iii)
Capitalization with Revenue Standard, or (iv) Assets with Equity Standard. The
liquidity requirements are determined by whether an Applicant is a (i) a
Spin-Off Company or engaged in an Initial Public Offering, (ii) Seasoned
Company currently trading common stock or equivalents, or (iii) Affiliated
Companies.</p><h3><strong>OTC Markets Group</strong></h3><p><strong></strong><em><strong>OTCQX</strong></em></p><p>This market was designed for
investor-focused companies that satisfy established financial standards, can
demonstrate compliance with U.S. securities laws, are current in the applicable
disclosure requirements, and are sponsored by a third-party advisor.</p><p>The OTCQX is further broken up into:</p><ul>
<li><em><strong>OTCQX International</strong></em>
– This market is for global companies that are already listed on an
international stock exchange and provides a venue for trading ADRs or foreign
ordinary securities listed on a qualified non-U.S. stock exchange. OTCQX
International enables companies to establish a secondary marketplace for U.S.
investors without the burden of redundant reporting and disclosure requirements
of a U.S. exchange listing. In lieu of SEC reporting, Companies listed on this
market may use English-versions of the disclosures and periodic reports filed
with the regulatory bodies of their home country. All such companies must
appoint a qualified, third-party investment bank or attorney (Principal
American Liaison – “PAL”). The PAL provides assistance with the admission
process and making English-versions of a company’s disclosures and reports
available. Further, the PAL provides investors a reputable source of
information.</li><li><em><strong>OTCQX U.S</strong>. </em>–
This market is for U.S. companies with smaller market capitalizations that meet
applicable financial and operating standards. Such companies oftentimes use
this marketplace for building visibility in the investment community and can
leverage this marketplace to achieve an eventual listing on a larger
marketplace or stock exchange</li></ul><p><strong><em>OTCQB:</em></strong></p><ul>
 </ul><p>The OTCQB venture stage marketplace
is geared towards early stage and developing U.S. and
 
international companies. These companies will generally not meet the
requirements necessary to   trade on the OTCQX. Companies
trading on this marketplace must be, and remain, current in
  their reporting requirements and satisfy an
annual verification and management certification
  process. Additionally,
companies trading on this marketplace will be subject to a minimum ($0.01) bid
test.</p><ul>
 
</ul><h5><em><strong>OTC Pink:</strong></em></h5><p>The OTC Pink marketplace consists of
a wide range of equity securities and consists of
  all types of companies that could be
trading here for a number of reasons, whether by design, distress or default.
As a result of this, the OTC Pink marketplace categorizes the securities being
  traded based on the quantity and quality of
information available on such securities.</p><ul>
<li><em><strong>Current Information
</strong>– </em>Companies in this category publicly file reports, as required by the
OTC Pink Basic Disclosure Guidelines, through the OTC Disclosure and News
Service. This category is solely based on the availability of information on a
particular company and does not reflect or provide insight into the quality or
risk associated with a given security.</li><li><em><strong>Limited Information</strong></em>
– These companies may have financial reporting problems, economic distress, or
may be in bankruptcy thereby limiting the information they have publicly
available. Companies in this category may not have problems, but may simply be
unwilling to satisfy the disclosure requirements stipulated by the OTC Pink
Basic Disclosure Guidelines.</li><li><em><strong>No Information</strong></em>
– These companies do not provide disclosure.</li><li><em>C<strong>aveat Emptor </strong>– </em>“Buyer
Beware.” These companies have a public interest concern associated with the
company, security, or control person.</li></ul><h5><em><strong>OTHER OTC or GREY MARKET:</strong></em></h5><p>Securities listed on this market are
not currently traded on the OTCQX, OTCQB, or OTC Pink markets. A lack of
investor interest, regulatory compliance, or the availability of company
information may have resulted in Broker-Dealers not being willing or able to
publically quote these securities</p><h3><strong>NYSE Euronext</strong></h3><p>In 2007 the New York Stock Exchange
merged with Euronext, which was a completely electronic stock exchange.
Euronext maintains a number of European exchanges while the NYSE maintains
U.S.-focused exchanges. NYSE Euronext is operated by IntercontinentalExchange
following an acquisition in 2013.</p><h5><strong><em>New York Stock Exchange (NYSE)</em></strong></h5><p>The NYSE is the world’s largest and
most liquid stock exchange. This exchange is generally reserved for mature
medium- and large-sized companies that have satisfied a number of criteria to
be eligible for listing and are subject to stringent ongoing requirements to
maintain such listing. To maintain the quality of listed companies, the NYSE,
at its discretion, can deny listing or may implement additional or more
rigorous criteria relating to any applicant.</p><h5><strong><em>NYSE MKT</em></strong></h5><p>The NYSE MKT is the NYSE Euronext’s
capital market for small cap companies that are subject   to
listing standards that are less stringent than the NYSE. Companies listed on
the NYSE MKT  
can benefit from the NYSE Euronext’s trading platform and global visibility
while using the   marketplace to, among other
things, generate capital to fund growth. Many companies list on the NYSE MKT
with the goal of expanding their business sufficiently to satisfy the higher
listing   requirements of the
NYSE or another, larger exchange.</p><h5><strong><em>Euronext</em></strong></h5><p>Euronext is completely electronic,
pan-European market accessible through Amsterdam,  
Brussels, Lisbon, and Paris. Euronext also includes Liffe, a derivatives market
in London. This   exchange provides a
centralized and cross-border market subject to uniform rules and regulatory
framework. Companies listed on the Euronext are segmented based on market
capitalization:</p><ul>
<li>Segment A – market cap
&gt; 1 billion euros</li><li>Segment B – market cap
between 150 million and 1 billion euros</li><li>Segment C – market cap
&lt; 150 million euros</li></ul><ul>
 </ul><h5><strong><em>NYSE &nbsp;Alternext</em></strong></h5><p>The NYSE Alternext maintains less
stringent listing requirements and is geared towards small-
  and mid-cap companies. Similar
to the NYSE MKT in the U.S., the NYSE Alternext enables
  companies to tap the public marketplace without
needing to satisfy the higher listing standards of a larger exchange.
Oftentimes, the Alternext serves as a stepping stone to companies that
  ultimately want to
be listed on a large exchange like the NYSE Euronext. The Alternext is a
  multilateral trading
facility rather than a regulated market as defined by the E.U. directives. This
  market can be accessed through Amsterdam, Brussels, Lisbon,
and Paris.</p><h5><strong><em>Free Markets</em></strong></h5><p>The Free Markets, accessible through
Paris and Brussels, was created to provide small cap   companies
with a market in which to raise capital and fund growth. As with the NYSE
Alternext,   the Free Markets
are multilateral trading facilities that provide a platform for executing buy
and   sell orders through NYSE Euronext-member firms. The listing
standards and costs associated   with the Free
Markets are less extensive than those of the NYSE Alternext or NYSE Euronext,
  enabling a broader range of companies with smaller market capitalizations
to participate.</p>
